By accessing or using WarmShell services, you agree to be bound by these Terms of Service. You must be at least 18 years old and have the legal authority to bind the company you are registering.
WarmShell provides physical business addresses with commercial sublease agreements, company formation services, banking document preparation, bookkeeping, legal consulting, and residence permit assistance. Services are available in the United States and Serbia, with additional countries planned.
Each address accommodates a limited number of companies to maintain address quality and bank acceptance rates.
You must provide accurate and complete information during registration. One primary account holder per user, with the ability to register multiple companies under a single account. KYC verification is required before service activation.
WarmShell reserves the right to reject applications based on sanctions screening, fraud indicators, or prohibited business types.
The following business types are prohibited from using WarmShell addresses: unlicensed money services businesses, cannabis/marijuana operations, adult entertainment, weapons/firearms dealers, unlicensed cryptocurrency exchanges, businesses on OFAC sanctions lists, and any activity illegal under US federal or state law.
Violation of this policy results in immediate termination without refund.
Subscription billing is processed through our payment partners. Plans are available on monthly or annual billing cycles with automatic renewal. Failed payments trigger a 15-day grace period before service suspension.
Prices may change with 30 days written notice to active subscribers.
Monthly subscriptions may be cancelled at any time with service continuing until the end of the current billing period. Annual subscriptions include a 14-day cooling-off period with full refund. After 14 days, remaining value is applied as account credit valid for 12 months.

WarmShell provides services on an as-is basis. We are not liable for bank decisions, government actions, or third-party actions. Maximum liability is limited to fees paid in the preceding 12 months.
We are not a law firm and do not provide legal advice. We are not an accounting firm — bookkeeping services are not CPA services.
These terms are governed by the laws of the State of Wyoming, United States. Disputes shall first be resolved through good-faith negotiation, followed by binding arbitration under AAA rules if unresolved.
